CONSTITUTION
Preamble:
In recognition of the significant role that theological
libraries play in theological education, and of the substantial benefit to be
derived from regional collaboration of such libraries, we constitute ourselves
as:
Article I: Name
This association shall be known as the Libraries Interested
In Theology Across New York (LITANY).
Article II: Purpose
This association shall exist for the support of cooperative
and collaborative endeavors among theological libraries in upstate
New York and the adjacent
western New England area.
Article III: Status
This association shall operate on a non-profit basis, and in
doing so, no part of the net earnings of the association, no distribution, and
no expenditure shall be made for the benefit of any individual. Furthermore,
no substantial part of the association’s activities shall be devoted to
attempting to influence legislation, or disseminating propaganda.
Article IV: Membership
Theological libraries that fulfill the requirements for
membership as defined by the By-Laws shall be constituted members of the
association. Each member library shall designate one official voting
representative to the association; however, member libraries are encouraged to
have as many staff members as possible attend meetings of the association.
Article V: Governance
A. Meetings
The association shall hold an annual meeting for the purpose
of conducting a business meeting, presenting programs and providing
opportunities for continuing education. The association shall hold at least
one other meeting prior to this for the purpose of organizing and planning the
annual meeting. Additional meetings for the conduct of business, continuing
education, mutual endeavors, and for fellowship may be held from time to time.
Meetings shall be conducted either in person or via electronic means.
B. Conduct of Business
A quorum shall consist of one-half of the institutionally
designated representatives from the member libraries of LITANY.
C. Elections
Elections shall be held at the annual meeting. A simple
majority of persons present from member libraries shall suffice for the purpose
of holding an election.
D. Officers
The officers of the association shall be: President,
Past-President, Secretary, and Treasurer.
E. Executive Committee
An Executive Committee, which shall comprise the President,
Past-President, Secretary, Treasurer, Communications chair, and one at-large
member, shall be charged with the due administration of the association, as well
as conference planning, and long-range planning for the association.
Article VI: Committees and Programs of the Association
In order to promote the purposes of the association, the
association may establish and organize committees, programs, interest groups,
and other forms of cooperation as described in the by-laws.
Article VII: Amendments to the Constitution
Amendments, additions, clarifications, or deletions to the
articles of this constitution may be made by a two-thirds majority vote of the
member institutions. The nature and specific wording of changes shall be
communicated to the member libraries, and the vote shall be conducted either by
mail or at a called meeting at which a quorum is present, with each member
library having one vote.
Article VIII: Dissolution
In the event of dissolution, after paying or making
provision for payment of all liabilities, the association shall dispose of its
assets by equal division of the assets among member libraries at the time of
dissolution. Dissolution may be accomplished by vote of a quorum of the
designated representatives of the member libraries.
